Position: Managing Counsel – Industry Ventures
Location: Memphis, TN

Description: The Managing Counsel – Industry Ventures, reporting to the Senior Vice President and Chief Legal Officer, is a newly created position that will help define and build out policies and procedures to translate the innovations of world class scientists into treatments and ventures that benefit patients. The Managing Counsel will help St. Jude Children’s Research Hospital navigate the legal challenges associated with accelerating innovation, including but not limited to risk assessment, contract negotiation, and advising on intellectual property and data sharing.

Responsibilities:

  • Negotiates, drafts, and provides legal advice on transactions and other matters pertaining to industry ventures, strategic partnerships, and commercialization, including patent and copyright license agreements, data sharing agreements, term sheets, services and consulting agreements, inbound/outbound licensing agreements, technology agreements, reliance agreements, and partner and vendor agreements.
  • Negotiates and provides legal guidance on domestic and international joint ventures and strategic partnerships.
  • Facilitates the financial and legal structuring of new business entities, including but not limited to reviewing start-up entity formation documents, venture funding documents, and other complex entrepreneurial and/or commercialization arrangements.
  • Protects St. Jude interests in research contracts, cooperative agreements, and other initiatives with industry partners and sponsors.

Qualifications:

Minimum Education and/or Training:

  • A Doctorate of Jurisprudence (JD) degree required
  • Eligibility for licensure in Tennessee within six months of hire

Minimum Experience:

  • Fifteen (15) or more years of experience in multiple specialized areas of the law, such as labor and employment, academic programs, health care compliance, grants and contracting, intellectual property, medical staff relations, non-profit tax issues, animal care and use, environmental health and safety, and/or accreditation matters.
  • Background representing health care industry clients strongly preferred

Licensure, Registration and/or Certification Required by Law:

  • License to practice law in the State of Tennessee is required within six (6) months from date of hire into the position

Licensure, Registration and/or Certification Required:

  • Active license to practice law in at least one U.S. jurisdiction
