Position: Senior Counsel, Securities & Governance Attorney

Description: Support the preparation of SEC filings and corporate governance at the public company and subsidiary company board levels for a fortune 200 company with some of the most iconic brands! Have a JD with 10+ years of work experience? Have 5+ years of experience as a practicing attorney in securities, corporate governance and M&A practice areas? If so, we want to speak with you!

We are actively recruiting for a Senior Counsel, Securities and Governance Attorney to join the Law Department in Richmond, VA, or we are open to remote work arrangements.

This position will involve working on a team that is responsible for assisting in the preparation of SEC filings and is responsible for corporate governance at the public company and subsidiary company board levels. As a member of this team, the position will also include legal support for capital markets and commercial transactions. Additionally, the position may provide assistance with M&A transactions, and corporate compliance programs. You will have the opportunity to work alongside and learn from smart, collaborative colleagues and do exciting work that enables the success of our employees and businesses.

What you will be doing:

  • Drafting portions of SEC filings, including annual reports, quarterly reports and proxy statements.
  • Preparing Section 16 filings and other event-driven SEC filings (e.g., 8-Ks).
  • Providing legal support for the Treasury organization, including capital markets transactions.
  • Providing legal support for other Finance department functions, including Corporate Audit.
  • Assisting with review of investor materials.
  • Assisting with annual shareholder meeting matters.
  • Managing subsidiary restructurings and overseeing day-to-day subsidiary management matters.
  • Overseeing the preparation and management of intercompany agreements.
  • Providing periodic legal support for M&A transactions.
  • Providing legal support for commercial transactions.

Qualifications:

We want you to have:

  • 5+ years of experience as a practicing attorney in securities, corporate governance and M&A practice areas.
  • 10+ years of work experience.
  • JD from an accredited law school and good standing member of the Bar.
  • Strong communication skills and direct client counseling experience.
  • Ability to navigate a complex organization and manage a demanding workload.
  • Strong business and financial acumen.
  • High level of professionalism and integrity with a desire to work collaboratively with individuals at all levels of the organization and to interact with the Board.
  • Interest in expanding legal knowledge to other practice areas.
