Description: Autodesk is looking for a motivated and flexible Senior Paralegal to join our Corporate Legal team. This individual will work independently but closely with counsel, accountants and tax experts to ensure our global subsidiaries are running smoothly.

Responsibilities

  • Manage activities for designated international and domestic subsidiaries, including planning and preparation of board and committee meetings, preparation of resolutions and minutes, maintenance of corporate minute books, and the selection and appointment of directors and officers, in coordination with extended legal team and/or outside counsel
  • Manage and maintain Autodesk’s entity management tool and processes as primary business owners
  • Provide support and guidance to the directors and officers of international and domestic subsidiaries on governance issues
  • Assist with preparation and filing of regulatory filings for domestic and international subsidiaries
  • Prepare and file state annual and other corporate filings for domestic subsidiaries
  • Support Tax entity restructuring activities and Treasury cash management activities
  • Coordinate executive and subsidiary director signatures on a variety of corporate documents
  • Draft worldwide corporate structure charts and global subsidiary lists
  • Prepare, coordinate and track powers of attorney
  • Manage and provide oversight and support in the records and data integrity of all information pertaining to international and domestic subsidiaries, including international entity management software maintenance
  • Provide support in developing and implementing corporate governance guidelines and subsidiary governance processes across all international and domestic subsidiaries.
  • Provide support for post-acquisition subsidiary integration
  • Provide training, mentoring, and education to internal teams, and design, recommend, and implement new processes and procedures to increase group efficiency and productivity
  • Prepare select reports filed with the SEC under the Securities Exchange Act of 1934, including Form 3, 4 and 5s, and 10b5-1 Plans for Section 16 Insider reporting requirements (preferred but not required skill)
  • Special projects as requested
