Position: Corporate Franchise Mid-Level Associate (WDC)

Description: The Washington DC office of Seyfarth Shaw LLP is seeking a mid-level Corporate Associate with a minimum of 5 years of franchise transactional experience. The ideal candidate will have sophisticated experience in franchise structuring, formation and implementation, including: 1) negotiation and drafting of franchise disclosure documents and related agreements such as master franchise agreements, distribution agreements, operating agreement, domestic and international franchise disclosure and registration, and licensing agreements; 2) experience with mergers and acquisitions, joint ventures and strategic alliances involving franchises; 3) working knowledge of franchise system regulatory issues both nationally and internationally; and, 4) general corporate governance. Merger & acquisition experience a plus.
The successful candidate will also have the ability to manage smaller transactions, be capable of independent responsibility for major documentation and components of larger transactions as well as the desire to mentor and supervise junior associates. Top law firm experience preferred. Excellent academic credentials, analytical skills and verbal and written communication skills required.
