Sr. Associate Corporate Counsel

Primary Responsibilities:

  • Advise on risks and liabilities of proposed commercial transactions with a focus on the health care sector, and devise creative and practical legal solutions to meet business objectives
  • Counsel internal clients and interface with customers on significant legal and regulatory issues in the health care industry, including HIPAA, business associate agreements, and data processing agreements
  • Draft, review, and negotiate a broad range of commercial agreements, including software licensing, support services, cloud computing, and nondisclosure agreements
  • Interface with various groups within VMware to understand key IP, commercial and finance requirements and ensure commercial contract terms comply with corporate directives, policies and procedures
  • Act as a fiduciary for the company driving compliance in day-to-day sales activities, including providing training and counselling to sales professionals and coordinating with other groups within the VMware Legal Department on compliance matters

Corporate Counsel

VMware is seeking a highly talented lawyer to join our commercial legal team as Corporate Counsel. This person will be based in Toronto, Ontario and will report into the Managing Corporate Counsel for VMware’s Americas Central and Canada region. The primary job responsibility is to provide subject matter expertise in supporting government transactions. The successful candidate will also provide legal advice and counsel to internal clients at all levels on compliance and commercial matters, manage outside counsel in region, and support day-to-day initiatives and long-term strategies of VMware. In addition, as a member of the Americas Legal team, this person will have the opportunity to be involved in strategic legal projects for the Americas.

Corporate Counsel – Licensing and Cloud Services

Description:

VMware seeks to add a highly talented lawyer to its legal team supporting the company’s global Licensing and Cloud Services businesses. This Corporate Counsel position could be based in any United States city in which VMware has an office, or elsewhere in some circumstances. This position will report to the Director & Assistant General Counsel, End User Infrastructure & Procurement. This lawyer will work with many business and legal teams to help VMware to develop, deploy and maintain its license and cloud service models for sales to end customers. He or she will have significant responsibility for the company’s release of new offerings and programs, developing suitable contracts for offerings acquired through acquisition, and ensuring that contract templates and playbooks stay aligned with the company’s latest licensing and XaaS models. He or she also will provide legal support for special projects, including customer satisfaction efforts, and for transactions as needed, including negotiations with end users.

Responsibilities:

  • Work with business executives and VMware Legal teammates to develop legal documents and worldwide operations infrastructure to support VMware’s licensing and sales models (perpetual, subscription and XaaS)
  • Develop appropriate license terms for new on-premise software offerings as the company releases or acquires them, and otherwise keep VMware’s licensing documents up to date
  • Help to develop and maintain fallback processes for relating to the company’s licensing and cloud services terms

Qualifications:

  • 8 or more years of relevant experience with a major law firm, a high-tech company, or both.
  • A self-starter who operates well in a fast-paced environment that strongly values teamwork and excellence, as well as integrity, execution, customers and community.
  • A track record of excellence and leadership in past employment and academics, and of enthusiasm for learning.
  • Substantial experience with software contract drafting, including licensing (perpetual, subscription, distribution and open source) and XaaS agreements.
  • Proven skills in structuring, drafting and negotiating commercial transactions, including software or technology licenses, terms of service, commercial contracts, other service agreements and acquisition agreements. Experience with U.S. and international transactions is a strong plus.
  • Demonstrated ability to work effectively with business teams on legal aspects of developing and improving scalable offerings and programs. Experience with development of global software licensing models, IT support models, sales programs and channel programs is a strong plus.
