Position: Corporate Counsel

Description: VMware is seeking a highly talented lawyer to join our commercial legal team as Corporate Counsel. This person will be based in Toronto, Ontario and will report into the Managing Corporate Counsel for VMware’s Americas Central and Canada region. The primary job responsibility is to provide subject matter expertise in supporting government transactions. The successful candidate will also provide legal advice and counsel to internal clients at all levels on compliance and commercial matters, manage outside counsel in region, and support day-to-day initiatives and long-term strategies of VMware. In addition, as a member of the Americas Legal team, this person will have the opportunity to be involved in strategic legal projects for the Americas.

Primary Responsibilities:

  • Provide guiding expertise in Canadian government procurement negotiations, including French language negotiations with Québec public entities.
  • Advise on risks and liabilities of proposed commercial transactions and devise creative and practical legal solutions to meet business objectives.
  • Draft, review, and negotiate a broad range of commercial agreements, including software licensing, support services, cloud computing, and nondisclosure agreements.
  • Keep abreast of applicable laws, regulations and industry guidance that impact commercial agreements.
  • Act as a fiduciary for the company driving compliance in day-to-day sales activities, including providing training and counseling to sales professionals and coordinating with other groups within the Legal Department on compliance matters.

Qualifications:

  • 6 to 10 years of transactional legal experience comprised of time spent at a major law firm or in-house with a high tech company. In-house legal experience is preferred.
  • High volume commercial transactions experience with a software or other technology company, including experience with licensing and/or services sales agreements.
  • An excellent negotiator with strong influencing skills experienced at drafting commercial contracts in both English and French.
  • JD from an accredited U.S. law school; member in good standing of a U.S. State bar
  • Demonstrated capability in creating and negotiating complex legal transactions in addition to typical sales agreements.
  • A practical and proactive problem-solver who possesses strong business acumen and is confident, mature and calm under fire.

Primary Responsibilities:

  • Draft, review, and negotiate a broad range of agreements, including software license, maintenance, cloud computing, mobility, hosting, professional services, RFP, teaming, prime/subcontracts and other commercial and public sector contracts.
  • Assess and advise on liabilities, legal restrictions, and risks of proposed commercial and public sector transactions in the U.S. and devise creative and practical legal solutions to meet business needs.
  • Interface with various groups domestically and internationally to understand key IP, commercial and finance requirements and ensure contractual terms comply with corporate directives, policies and procedures.
  • Keep abreast of applicable laws, government regulations (including FAR/DFARS) and industry guidance that impact the software, service, cloud and mobility businesses, and assist in the design and implementation of appropriate policies to ensure compliance.
  • Support compliance in day-to-day sales activities, including providing training and counseling to sales professionals and other internal clients and coordinating with other groups within the Legal Department on compliance matters.
  • Collaborate and partner effectively with the business, including providing advice and counsel to executives and sales professionals on issues related to commercial and public sector contracts and programs.
  • Manage outside counsel in region as applicable and lead and/or participate in special projects within the Legal Department as assigned, including efforts to develop, implement and enhance processes and policies that improve transaction velocity without material increase in risk.

 

Qualifications: The individual we seek will be a bright, strategic, broad-based business attorney with meaningful experience in a company known for excellence in its commercial legal activities. He or she will have a minimum of twelve years legal experience comprised of time spent both at a major law firm and in-house with a multinational corporation. The successful candidate will be:

Description: Seyfarth Shaw LLP is seeking a part-time hourly attorney to join our exciting Innovative Staffing Team (IST) in the Labor & Employment Department. This position is designed to be flexible on location, including working from home with access to our any of our local offices as needed. Candidates should have 3+ years of increasingly responsible employment law experience and be excited to work in a collaborative team, delivering high quality work.

Candidates should have familiarity with federal court practice, as well as with the Equal Employment Opportunity Commission, Department of Labor, and other federal, state and local government administrative agencies. Candidates should have the ability to handle a practice that includes handling DOL Audits and EEOC charges, including defending investigations, preparing position statements, defending clients in fact-finding conferences and on-site visits, representing clients in mediations and conciliations, and negotiating settlements. Candidates should also have some litigation experience, including drafting responsive pleadings, handling all aspects of the discovery process, and drafting motions, including motions for summary judgment.

Position: Labor & Employment Counsel - Sacramento

Description: The Counsel role is a full-time (40 hours per week) salaried position designed to be flexible on location, including working from home with access to any of our local offices as needed. This is for experienced lawyers who do not seek to be in a partner-track position, but who want to continue to do sophisticated legal work and have direct client involvement. Candidates should have 7+ years of increasingly responsible employment law experience, preferably on the defense side, and be excited to work on a collaborative and innovative team, delivering high-quality work and identifying technological and creative ways to maximize efficiencies for single-plaintiff employment litigation.

As Counsel, candidates must be very comfortable handling a single-plaintiff employment lawsuit from start to finish with minimal oversight. In this role, Counsel will routinely interface directly with clients and Firm partners, as well as provide litigation recommendations and develop defense strategy. Legal Responsibilities: A Counsel is responsible for leading, managing, and/or supporting legal matters relating to Single-Plaintiff Litigation and Administrative Charges. Lawyers in this role will handle matters in federal and state courts, and before the Equal Employment Opportunity Commission, and perhaps the Department of Labor, as well as other federal, state, and local administrative agencies, with minimal oversight. They will have the ability to handle a practice that includes both overseeing EEOC Charges, including defending investigations, preparing position statements, defending clients in fact-finding conferences and on-site visits, representing clients in mediations and conciliations, and negotiating settlements, as well as directly managing single-plaintiff litigation, including drafting responsive pleadings, handling all aspects of the discovery process (including taking and defending depositions), drafting motions and briefs, including motions for summary judgment, attending and handling arbitrations, and, where appropriate, delegating such work to and reviewing the work of more junior attorneys. Occasional travel, both in-state and out-of-state, may be required.

A Counsel will be dedicated to a limited number of client portfolios of employment work, such that the lawyer will become immersed in the business needs of a particular industry or industries and will be able to develop a deep knowledge of a client’s preferences, as well as grow the client relationship. The Counsel will be responsible for handling and litigating such clients’ portfolios within a particular geographic region, in addition to working directly with the relevant relationship partners to foster a stronger client relationship.
