Position: Compliance Manager - Compliance Testing Unit (CTU) - COM0005Z

Position: Director and Assistant General Counsel, and Employee Relations Group

This role will manage a team of individuals responsible for: (1) conducting internal investigations into allegations of employee misconduct; (2) assisting managers and HR with the performance management process; (3) administering leaves of absence and accommodation requests; (4) facilitating effective and compliant organizational restructurings; (5) providing employee relations training and advice to internal business and HR stakeholders; and (6) providing employment law-related legal advice to the ER team members in close association with the Company’s Employment Law Group. In addition, this leader will be responsible for identifying and reporting trends relating to the ER function and proactively working with business and HR leaders on addressing areas of risk and concern. Additional responsibilities include:

  • Manage VMware’s Employment Investigation Program for in-scope employment investigations across the Company;
  • Lead the investigation and resolution of in scope complaints of the highest complexity and sensitivity, ensuring quality investigations of in scope complaints are conducted in an objective and thorough manner directly and/or by actively monitoring and evaluating investigations led by VMware ER team members or outside investigators;
  • Establish global framework for ER activities and develop a plan for globalizing the ER function; and

Qualifications:

This position will report to the Assistant General Counsel & Director in the Worldwide Sales Legal Team. The position will provide transactional support for the software licensing and services business in a designated region of the United States, provide legal advice and counsel to internal clients at all levels in the associated region, and support day-to-day initiatives and long-term strategies of VMware. The position can be located in Reston, Virginia or Chicago, Illinois.

Primary Responsibilities:

  • Assess and advise on liabilities and legal restrictions and risks of proposed commercial transactions and devise creative and practical legal solutions to meet the commercial needs
  • Draft, review, and negotiate a broad range of commercial agreements, including software licensing, support services, cloud computing and nondisclosure agreements
  • Interface with various groups within VMware to understand key IP, commercial and finance requirements and ensure commercial contract terms comply with corporate directives, policies and procedures
  • Keep abreast of applicable laws, regulations and industry guidance that impact commercial agreements
  • Collaborate and partner effectively with the business, including providing advice and counsel to executives and sales professionals on issues related to commercial licensing and service transactions
  • Act as a fiduciary for the company driving compliance in day-to-day sales activities, including providing training and counseling to sales professionals and coordinating with other groups within the VMware Legal Department on compliance matters
  • Assist with legal department projects as assigned, including efforts to develop, implement and enhance processes that improve transaction velocity without material increases in risk

Qualifications:

  • Three (3) to seven (7) years of transactional legal experience comprised of time spent at a major law firm or in-house with a high tech company. In-house legal experience is preferred.
  • High volume commercial transactions experience with a software company of similar size and scale to VMware, including experience with licensing and/or services sales agreements
  • An excellent negotiator with strong influencing skills experienced at drafting commercial contracts
  • Demonstrated capability in creating and negotiating complex legal transactions in addition to typical sales agreements
  • A practical and proactive problem-solver who possesses strong business acumen and is confident, mature and calm under fire
  • Must be able to juggle multiple priorities and tasks in a fast paced environment, but be focused when needed on the matter at hand
  • Excellent written and oral communication skills, interpersonal skills, and leadership skills
  • Must be able to work effectively both independently and with a team
  • Of the highest degree of personal and professional integrity and ethics
