Position: Senior Counsel - Director

Role Synopsis: A highly experienced commercial real estate lending attorney with responsibility for US/Americas region-wide legal support of the commercial real estate lending business.
Responsibilities:
Serve as a senior legal counsel for BNY Mellon’s commercial real estate lending business (the “Business”) in Investment Management US/Americas (“IM”).
Coordinate with outside counsel in the review of commercial mortgage loan agreements, term sheets, mortgages, deeds of trust, cash management agreements, lock box agreements, legal opinions, assignments of leases and rents, environmental indemnities and intercreditor agreements in connection with the origination of conduit loans intended to be sold to securitization depositors.
Work closely with Business partners and outside counsel during the loan closing process, coordinating with securitization counsel concerning legal issues impacting CMBS.
Partner with the senior managers of IM, participating in credit committees and other relevant meetings, offering constructive challenge and helping to support the committee in fulfilling its role and responsibilities.  The job holder should facilitate and encourage informed and constructive debate on key legal issues and ensure that committee members receive relevant management information in an accurate, timely and clear form.
Advise business managers as well as Credit, Compliance and Risk officers on legal and regulatory issues, keeping abreast of new developments, arising in connection with the Business.
Recommend, approve and manage outside counsel engaged to assist the Business.
Help to ensure that a strong governance culture is embedded within the business, that issues are escalated and cascaded appropriately and that key risks are identified, discussed and mitigated.
Comply with all BNY Mellon corporate policies and procedures, including HR policies and procedures, applicable to BNY Mellon.
Qualifications/Experience:
JD from a well-regarded accredited law school and a member of the bar with at least 7 years of experience (preferably including in-house experience).
Experience with the process of closing conduit loans and advising financial institutions engaged in transactions involving conduit lending.
Experience negotiating commercial real estate lending agreements and related documentation with customers.
Experience advising business managers and control functions with respect to risk, credit, operational and compliance issues related to commercial real estate lending.
