Position: Real Estate Assistant/Associate General Counsel Wal-Mart Stores, Inc.

Description:  The real estate attorney will support Legal Real Estate in handling projects that reflect the business clients’ current strategies. This position will be responsible for identifying, assessing, and managing risks and resources while promoting and supporting company policies, procedures, mission, values, and standards of ethics and integrity. The attorney will supervise all aspects of complex commercial real estate transactions related to new store construction for Walmart Realty while managing outside counsel relating to same. Also, the attorney will manage entitlement and land use issues relating to commercial real estate development, environmental/hazardous materials issues, as well as federal and state environmental requirements/best management practices, reporting to a Senior Associate General Counsel for Real Estate. Attorney will also work closely with Real Estate Directors and Project Managers, and will provide advice and counsel to directors and officer-level associates within the company where necessary. Expertise in negotiation and preparation of purchase agreements, ground leases, building leases, development agreements, easements, declarations and use restrictions, and related transactional documents is required.

Qualifications:

Minimum Qualifications:

• 5 years legal experience post-degree.

• Law degree from an accredited law school.

• License to practice law in at least one state.

Additional Preferred Qualifications:

7+ years of experience with commercial property development in a law firm or corporate environment, detailed-oriented and able to work within a cross-functional, team-oriented environment. Previous supervisory experience a plus.

Basic Qualifications

Position: Managing Counsel – Depositary Receipts

Company: BNY Mellon

Location: One Wall Street, NYC

Description:  Attorney dedicated to supporting the Depositary Receipts (DR) business, an international securities servicing business.  DR Legal provides advice on all aspects of the depositary’s relationship with foreign DR issuer clients and legal guidance in the development of new products and the establishment of new DR markets. 

Areas of coverage include:

  • Advice on DR program establishments, offerings and ongoing transactions and implementation and the extension of issuers’ corporate actions to DR holders, including tender and exchange offers, rights offerings, dividends and proxy voting
  • Consultation on legal and contractual arrangements with agents,  international clearing and settlement systems and exchanges involved through the life-cycle of a DR, including local market sub-custodians, transfer agents, DTC, Euroclear and Clearstream
  • Work with  Division, Risk and Compliance partners in providing guidance on issues related to legal and contractual matters, operational risks and regulatory matters
  • Assist business in interactions with regulators in various emerging and frontier market jurisdictions to introduce DR product and engage with business line on developing new DR uses in existing markets
  • Review and approve legal opinions, marketing and communication materials
  • Manage outside counsel engaged to assist the business
  • Monitor and advise on relevant legal and regulatory developments

Qualifications:Attorney should have at least 10 years general corporate and securities law experience, with excellent communication, contract negotiation and writing skills. Attorney should be versed in cross border equity capital markets transactions, including registered public offerings, Rule 144A, Regulation S and Rule 144.  Familiarity with international markets, custody and settlement matters and in-house experience would be beneficial.
