Position: Litigation Associate

Position: Senior Counsel
Company: Pershing

Description: The Senior Counsel-Bank/Brokerage/Custody will have primary responsibility for providing daily legal and regulatory advice and counsel to business leaders for a new and unique bank and brokerage custody service model being developed by Pershing LLC, deploying Pershing’s industry-leading technology and fully outsourced processing and service platform.
Candidates should have a minimum of 6-10 years of experience in a trust bank, financial institution custody environment or at a law firm providing legal advice. A combination of the above and specific regulatory experience from OCC, Federal Reserve, FDIC or a securities regulator is desirable. Familiarity or, preferably, subject matter expertise in the following areas are further keys to success:
1. Bank custody regulatory structure on federal and state levels and familiarity with banking related examinations including CFPB.
2.Experience drafting Sub-custodial service contracts that may be offered by BNY Mellon to a Trust Bank, trust Company, Registered Investment Advisory firm or other regulated entities
3. Bank custody and traditional back office functions including all operational support groups (i.e. Asset Marshalling, funds disbursement, corporate actions, tax reporting, US and non-US sub-custody relationships)
4. Understanding of disclosure requirements and other required investor communications for federal and state chartered banks, trust companies and Registered Investment Advisory Firms
5. Knowledge of trust accounting systems and ability to contribute to systems design and build out to accommodate projected business
6. Data privacy requirements for trust companies, banks and broker-dealers
7. Contract negotiations with third party providers and familiarity with third-party OCC/Fed risk related due diligence and contractual obligations and negotiation for new relationships and existing partners including provisions for confidentiality, indemnification, termination and related terms
8. Ability to represent the organization with regulatory agencies
9. General Familiarity with banking regulations, affiliate networking arrangements and the structuring of Service Level Agreements

Position: Managing Counsel

Description: Managing Director & Managing Counsel, Office of Public Policy and Regulatory Affairs

This attorney will be a key component of the Office of Public Policy and Regulatory Affairs (“OPPRA”), focusing on advising the firm’s global finance and risk functions.  Responsibilities will include capital, liquidity, and funding issues, capital planning, stress-testing, and liquidity risk management.  Other responsibilities will include assisting in the development of new products and services, Dodd-Frank implementation, advising the firm’s securities investment portfolio, preparations for Basel III capital and liquidity standards, as well as related advocacy efforts.  This attorney will work closely with BNY Mellon’s Corporate Treasury division, Controllers group, Regulatory Reporting, Capital Adequacy & Stress-Testing, Government Affairs, Risk and Compliance, and other control functions, as well as the in-house legal team to identify and manage key regulatory issues related to the conduct of BNY Mellon businesses affecting the firm’s finance and risk units and to develop strategies to implement changes as required by regulatory developments.  This position will report to the Assistant General Counsel in OPPRA’s New York, New York office responsible for enterprise-wide finance and risk functions.

Key responsibilities include but are not limited to:
• Advising the company on strategic advocacy and implementation regarding the Basel III Accord, including ongoing capital reform measures (e.g., leverage requirements and capital surcharges) and new quantitative liquidity regulations.
• Provide counsel on the development and implementation of advocacy plans pertaining to Title II of the Dodd-Frank Act (Orderly Liquidation Authority).
• Participate in firm-wide and business centered stress-testing initiatives, including yearly CCAR preparation and submission and DFAST stress-testing exercises.
• Serve as a legal advisor to Corporate Treasury’s business units, including the corporate investments portfolio, asset-liability management, internal business combination transactions, capital actions, and corporate funding.
• Work with BNY Mellon’s Exchange Act disclosure legal team in formulating quarterly regulatory affairs disclosure across the firm, as well as capital- and liquidity-specific disclosures.
