Position: Director & Associate General Counsel

Description: Experienced real estate and transactional attorney to join team of development lawyers supporting North American portfolio of over 575 owned, managed, franchised and joint-ventured hotel properties, including operations (asset management, owner relations and contract compliance), transitions (dispositions, modifications, renewal, refinancing, debt restructuring, property improvement, defaults and terminations), construction and renovation projects, and other commercial real estate matters, including leasing . Clients include teams responsible for hotel and corporate operations, owner relations, asset management, architecture and construction, sustainability, facilities and engineering, risk management, finance and treasury.

Real Estate Investment Management: provide legal advice and transactional support relating to company-owned real estate (hotel and non-hotel), including familiarity with all property documents, review of marketing materials and broker agreements, property due diligence, letters of intent, purchase and sale and other agreements, satisfaction of closing conditions, and closing documents.
Hotel Operations: provide legal assistance to the operations, owner services, asset management finance and treasury teams responsible for owned, managed, franchised and joint venture properties. This function's responsibilities range from advising property teams on contract compliance, legal disputes of all kinds, lender workouts, bankruptcies and foreclosures, and extending and amending existing management, franchise and joint venture agreements.
Architecture & Construction: support for architecture, design and construction transactions and disputes/litigation including new hotel and spa and restaurant development and construction, capital renovations, prototype development, and brand conversions, and fitout of corporate facilities.
Corporate Leasing: support for leasing of North American corporate offices, including broker retention, site selection, space planning, negotiations, lease negotiation, critical dates, expense audits, billing issues, and disputes, and economic incentives.
Environmental, Sustainability and Engineering: Support for legal compliance, hazardous material testing and remediation, sustainability projects, and hotel engineering.

Qualifications:
Minimum four year college and United States Juris doctorate degrees and admission to a state bar.
JD from top-tier institution.
3-5 years law firm experience.
Experience providing legal advice related to company-owned real estate.
Skill/ability to independently, effectively and efficiently take initiative, address array of issues, negotiate/draft contracts, manage outside counsel to provide cost-efficient legal advice.
Ability to articulate ideas, both verbally and in writing. Ability to use judgment, discretion, analyze facts and draw conclusions independently and efficiently.
Desirable: Exposure to hospitality industry

Position: Senior Counsel

Description: The Senior Counsel will have responsibility for general legal matters, including commercial legal advice and contracts for one or more business units or divisions of the company, including a portion of our Latin America division. The Senior Counsel will be responsible for supporting other corporate functions or business units. The Senior Counsel will work both independently and under the supervision of the Deputy General Counsel. Responsibilities include but are not limited to:

Qualifications: The successful candidate will hold a law degree from an accredited United States law school and be a member in good standing of the bar of a US State or District of Columbia. If the successful candidate is not a member of the Connecticut bar, the candidate will be required to obtain CT authorized house counsel status immediately upon hire.The Senior Counsel should have a minimum of five (5) years of commercial legal experience with background and interpersonal skills sufficient to function successfully in a visible and challenging position; MUST be fluent in Spanish; prior in house experience is a plus. In addition, it is desirable for the successful candidate to have the following background: * a diverse corporate legal background including negotiation experience and general corporate exposure to sophisticated corporate matters * additional foreign language fluency, such as in French, Portuguese, or German.
